What the Work Involves

Regulatory due diligence.

ATOL conditions, bond obligations, CAA compliance history, pending renewals, outstanding actions. Liabilities in this area directly affect deal terms – and they're invisible to advisors who don't know where to look.

Licence transfer and variation.

ATOL variations for ownership changes require CAA approval. ABTA transfers have their own process. Both have timelines that need to align with deal completion – a variation filed late can hold up the entire transaction.

Bond and financial restructuring.

A merged entity's risk profile differs from either predecessor's. Existing bond levels and trust arrangements typically need renegotiation. We aim to close new arrangements before completion rather than scrambling after.

Post-completion integration.

Consolidated ATOL reporting, updated ABTA membership, revised bonding, and any operational changes regulators require. Compliance must be continuous from day one, not retroactive.
